User License

1. Purpose

These license terms (hereinafter the “License”) aim to define the terms and conditions under which the company publishing Netethic (hereinafter the “Publisher”) grants the end user (hereinafter the “User”) a limited right to use the Netethic software solutions, including the web application, the iOS mobile application, the Android mobile application, their associated modules, and updates (hereinafter the “Software”).

2. Acceptance

Accessing, installing, creating an account, or using the Software constitutes full, complete, and irrevocable acceptance of this License.
If the User does not accept these terms, they must immediately cease all use of the Software.

3. Nature of the License

The Publisher grants the User a personal, non-exclusive, non-assignable, non-transferable, and revocable license, allowing them to use the Software solely in accordance with the terms and conditions of this License. This license does not, under any circumstances, constitute a transfer, even partial, of copyright, related rights, or any other intellectual property rights in the Software.

4. Scope of Granted Rights

The User is authorized to:

  • Access the Software via the web or through mobile applications;

  • Use the features provided under their subscription or trial period;

  • Store and process data necessary for the use of the Software.

Any use beyond the defined scope constitutes a violation of this License.

5. Strict Restrictions

The User is strictly prohibited, without the prior written authorization of the Publisher, from:

  • Copying, modifying, adapting, translating, reproducing, or creating derivative works of the Software;

  • Decompiling, disassembling, reverse engineering, or attempting to access the source code or executable data of the Software by any means, including automated tools;

  • Circumventing, disabling, or altering security measures or access controls;

  • Renting, lending, distributing, assigning, commercializing, sublicensing, or making the Software available, directly or indirectly, to any third party;

  • Using the Software for any unlawful, fraudulent, harmful purpose or in a manner that could compromise the integrity of the Software, third parties, or the Publisher;

  • Introducing malicious programs or interfering with the integrity of the Software.

Any violation may subject the User to civil and criminal liability.

6. Intellectual Property

The Software, its interfaces, databases, content, source code, trademarks, logos, graphical elements, and documentation are the exclusive property of the Publisher and/or its partners.
They are protected by intellectual property law and international conventions.

No rights other than the right to use the Software in accordance with the usage expressly defined in Article 4 of this License are granted to the User.

7. Account Creation and Management

The User is responsible for:

  • The accuracy of the information provided when creating their account;

  • Maintaining the confidentiality of their login credentials;

  • All activities conducted through their account.

The Publisher shall not be held liable for any consequences resulting from unauthorized access due to the User’s negligence.

8. Personal Data

Using the Software involves the processing of personal data carried out by the Publisher, in compliance with the GDPR and applicable French data protection laws.
The associated privacy policy specifies:

  • The categories of data collected;

  • The purposes of the processing;

  • The rights of the data subjects.

The User acknowledges having fully read and understood this privacy policy and the terms of processing of their personal data.

9. Availability and Maintenance

The Publisher strives to provide continuous access to the Software but cannot guarantee uninterrupted availability.
Maintenance operations, technical upgrades, or incidents may result in temporary interruptions.

The Publisher shall not be held liable for unavailability caused by:**

  • External factors (network issues, hosting provider, third-party failures);

  • Updates required for the proper functioning of the service.

10. Updates and Upgrades

The Software may be subject to updates or modifications, including on the web, iOS, or Android versions.
Some updates may be required to maintain access to the service.
The Publisher may add, modify, or remove features without incurring any liability.

11. Liability

The Publisher shall not be held liable for:

  • Direct or indirect damages resulting from non-compliant use of the Software;

  • Data loss attributable to the User or third-party services;

  • Damages resulting from hardware or software malfunctions beyond its control.

The Publisher’s liability, regardless of the cause, is limited to the amount paid by the User for the current subscription.

12. Security

The Publisher implements security measures in accordance with industry standards.
The User agrees not to compromise the security of the Software or attempt unauthorized access.

In the event of a security incident, the Publisher may suspend or restrict access to the Software.

13. Term and Termination

The License is granted for the duration of the subscribed plan or the granted trial period.

It may be terminated:

  • By the User, at any time, in accordance with the contractual terms;

  • By the Publisher, in the event of the User’s breach of these terms.

Upon termination:

  • Access to the Software is immediately suspended;

  • No financial reimbursement is due, except as provided otherwise in the subscription agreement.

14. Effect of Termination

Upon termination of the License, the User:

  • Must immediately cease all use of the Software;

  • Loses access to their data, except where a contractual option for data retrieval applies;May not retain any copy or extract of the Software.

15. Transfer and Sublicensing

The User may not assign, transfer, or sublicense the License without the prior written consent of the Publisher.
Any attempt at unauthorized assignment shall be deemed null and void.

16. Force majeure

The Publisher shall not be held liable for any failure to fulfill its obligations resulting from a force majeure event as defined under French case law.

17. Governing Law and Jurisdiction

This License is governed by French law.
Any dispute relating to its interpretation or execution shall fall under the exclusive jurisdiction of the French courts located within the jurisdiction of the Publisher’s registered office.

18. Final Provisions

If any provision is declared void, the remaining provisions shall remain fully enforceable.
The Publisher’s failure to exercise any right shall not be deemed a waiver of that right.
The current version of the License is the one available on the Netethic platforms.
